Terna has perfected the acquisition of 100% of the share capital of Rete 2, a company controlled by Areti, which owns part of the Acea group's high-voltage infrastructure located in the Rome metropolitan area.
The acquisition, announced to the market on 6 November 2024, was finalised through the signing of the deed of sale of company shares, following the adoption by the Ministry of Environment and Energy Security, of the measures necessary for the expansion of the National Electricity Transmission Grid and for the transfer to Rete 2 of all administrative acts relating to the high-voltage assets included in the scope of the operation.

The scope of the operation includes 73 high voltage power lines for approximately 481 km of network (overhead and cable lines), the high-voltage components of 3 primary cabins, the fiber optic network extended on the high-voltage lines included in the perimeter (which will be used in part for the operation and monitoring of the RTN and, for the excess part, with the possibility of marketing to third parties).
Also included are the employment relationships of the employees responsible for managing the high-voltage network serving the Rome metropolitan area.

The purchase price of the entire share capital of Rete 2 is approximately 227 million euro, subject to price adjustments. The consideration reflects the current total regulatory value of the assets involved in the transaction, equal to approximately €207 million.
The acquisition will facilitate better management of the decision-making process for investments in the renewal and development of the Central Italy electricity grid and will have a limited impact on Terna's financial leverage and be rating-neutral.
The acquisition will therefore create value and efficiency for the entire electricity system, allowing Terna to manage its infrastructure more efficiently and in a more integrated manner. This is consistent with the provisions of the Regulatory Authority for Energy, Networks and the Environment, which, with Resolution 616/2023, introduced incentives for distribution companies to promote the sale of high-voltage assets to Terna, in line with the goal of unifying these assets under Terna's management.
