Andrea Sironi will be the presidential candidate of Generali of list of the outgoing board of directors, which points to reaffirmation of Philippe Donnet leading the insurance company. She communicated it in a note the board of directors of Generali, which yesterday co-opted Sironi as independent director together with Alessia Falsarone and Luisa Torchia to replace the three resigning from the Caltagirone-Del Vecchio area.

Who are Andrea Sironi and the other two new directors of Generali

Sironi, 57, is currently the president of the Italian Stock Exchange; he is also a director of Intesa Sanpaolo and a true Bocconian, being vice president and professor of Finance at the University of Milan. He has a long academic and board experience. If the outgoing Council list wins at the April 29 meeting, Sironi will become president instead of Gabriele Galateri, who will conclude his long mandate on that occasion.

Alessia Falsarone, who resides in New York with both American and Italian citizenship, was previously the vice president of investments at the insurance giant Aig; she is an expert in ESG and asset management.

Luisa Torchia instead she is one of the main Italian experts in administrative law and is considered the favorite student of Sabino Cassese, judge emeritus of the Constitutional Court: she teaches at the Roma Tre University, has extensive experience in the board of directors and has been a consultant to many ministries.

The co-optation of the three new independent directors of Generali is another step towards the definition of the so-called list of the outgoing board of directors which has its point of reference in Donnet and which will be officially presented in mid-March together with the accounts of the company. It remains to be decided whether the list will consist of 13 or 15 candidates.

The countermove by Francesco Gaetano Caltagirone is also expected for mid-March, who, after controversially resigned from the vice presidency of the Trieste company, is working to define the alternative list to Donnet and the industrial plan which should oppose that of the outgoing Board of Directors, on which he hopes to attract the consent of Leonardo Del Vecchio and the Crt Foundation, with which he had in recent months created a consultation pact dissolved in recent weeks to leave hands free (also in new share purchases) to the three partners.

But, of course, the real match on April 29, when an assembly will be held that promises to be very hot from now on, barring improbable last-minute agreements between the two opposing fronts, remains in the hands of the institutional funds, which hold a significant share of the share capital of Generali.
