Kerakoll SpA (“Kerakoll”), a certified B Corp Benefit Corporation active internationally in the construction sector, and Steda Holding BV (“the Seller”) announce the completion of a strategic partnership, which provides for the acquisition by Kerakoll of 60% of the share capital of Caltra Netherlands BV (“Caltra”), a company controlled by the Seller.

Caltra Nederland BV is a Dutch company specialized in the development, production and marketing of so-called Supplementary Cementitious Materials, SCMs and Low-Carbon Clinker.

Founded in 1984 by Ludo van Nes, the company was taken over by his daughter Daniëlle and son Stephan in 2013. Caltra currently operates 3 manufacturing facilities, with a fourth facility under construction also in the Netherlands, scheduled to come online by Q2025 XNUMX.

The operation – formalized last May 16 – is aimed at combining skills and resources to develop alternative low-carbon binders, seizing the opportunities offered by the transformation of the cement sector committed to reducing environmental impacts and the implications for the premix sector.

The decarbonization of the construction industry – with the cement sector responsible for approximately 7% of total greenhouse gas emissions – is one of the most important future challenges to reach the zero emissions goal. The use of additives, alternative materials and circular economy solutions are some of the most promising solutions to reconvert the industry's business models.

Daniëlle M. Hemmink-van Nes and Stephan P. van Nes will retain a 40% stake in Caltra and will continue to lead the company operationally, ensuring continuity and stability for existing employees, suppliers and customers, as well as all other relevant stakeholders. They will also play a central role in planning and implementing the ambitious plans to bring ever more innovative solutions to the market.
