Bper closes its offer for Pop Sondrio at 58,3 percent, exceeding the minimum renounceable threshold.

Bper has closed its takeover bid on Banca Popolare di Sondrio, collecting subscriptions equal to 58,347% of the capital and thus exceeding the minimum (waivable) threshold of 50% to which the offer was subject.

CEO Gianni Franco Papa was right to say he was confident "in the success of our offer". The takeover bid of Bper Banca on Banca Popolare di Sondrio it closed with an attendance equal to 58,34% of the capital. The fee, which may be further rounded up to July 21st and 25th qhen the terms will reopen of membership, paves the way for a more rapid integration, giving Bper the opportunity to propose with good chances of success to the Sondrio shareholders the merger by incorporation, for the approval of which two thirds of the votes in the assembly will be needed, and allowing the Emilian institute to extract the 290 million euros of synergies promises to the market.

The offering, which began on June 16, ended today, with 101.136.597 applications received. Therefore, the total number of applications received is 263.633.476, equal to 58,347189% of the shares subject to the offering.

Borsa Italiana reminds that the ordinary Banca Popolare di Sondrio shares purchased on the market on 10 and 11 July 2025 were not tendered in the offer.

By Thursday evening, the offer had already exceeded the minimum threshold, set at 35,1%. The success of the operation was determined by the the relaunch established by the Emilian bankBper had initially offered 1,45 newly issued shares for each Popolare di Sondrio share. Last week, however, the group raised its offer, adding one euro for each share delivered, thus increasing the premium from 6,6% to 17,8%.

Banca Popolare dell'Emilia Romagna recalled this morning in a note "the significant strategic value of the offer" and that the objectives of creating synergies and growth of the Bper group and the Bps group "will be more quickly achievable the higher the membership".
