After the previews revealed by the Wall Street Journal, the official announcement has finally arrived. Express Scripts announced that it has agreed to acquire Medco Health Solutions for a combined consideration of $29,1 billion, approximately $71,36 per share in cash and stock. That's a 28% premium over Medco's closing price yesterday of $55,78. The operation between the two companies, active in the US pharmaceutical sector, has already obtained approval from the boards of directors. The merger marks the birth of the largest US pharmaceutical group and represents the second largest deal of 2011 after the one signed between AT&T and T-Mobile USA for a value of 39 billion.
