Green light to merger between Digital Multimedia Technologies and EI Towerscontrolled by Mediaset. The operation will be completed by the end of 2011. On December 14, the Antitrust authorized the concentration, prescribing a series of measures against the company resulting from the concentration operation.
The parties have agreed that the object of the sale from Millenium Partecipazioni to Elettronica Industriale will be 1.413.118 ordinary shares of Dmt post merger, equal to 5% of the share capital. The consideration per share is equal to 28,08 euro, therefore the total gross sum owed by Elettronica Industriale to Millenium Partecipazioni will be 39,7 million euro.
Following the merger and the sale, the equity investments held by Elettronica Industriale and by Alessandro Falciai, directly and indirectly, in the company resulting from the merger will be equal to 65,001% and 9,328% respectively.
