Hera acquires 60% of ACR, creating the first national operator in industrial waste reclamation and treatment activities

The binding agreement, signed yesterday, provides for the acquisition by Hera of 60% of the Modenese company ACR, one of the major companies in the reclamation and industrial waste treatment sector.

The Hera Group, through the subsidiary Herambiente Industrial Services (HASI), has signed a binding agreement for a long-term partnership which provides for the acquisition of 60% of the company ACR of Reggiani Albertino SpA, one of the major Italian companies in the reclamation sector, in the treatment of industrial waste, in the decommissioning of industrial plants and in civil works related to oil & gas, with headquarters in Mirandola (Modena). In addition, some reclamation and global service activities managed by HASI will flow into the new company.

Together, the two companies will create the first national operator in the reclamation activity e overall service, with a widespread presence throughout the Italian peninsula. For the Hera Group, this is a strengthening of its leadership in the environmental sector and the early achievement of the internal objectives envisaged in line with the UN 2030 Agenda. For ACR, this is a strategic agreement with a primary national player in the sector which allows you to enter the world of global service.

The details of the operation

At a national level, the union of the two companies involves the creation of an excellence between plant equipment and experience in the field of environmental and industrial remediation. Through the subsidiary HASI, the Hera Group counts today 18 multipurpose sites dedicated to the treatment of waste produced by companies and treats 1,3 million tons of industrial waste every year. In 2021 ACR developed revenues of approximately 110 million euros and a gross operating margin of approximately 17 million in the sectors covered by the operation. The integration of new ACR platforms with the current HASI plant equipment, moreover, the capillarity of solutions of proximity in the territories historically served, improving the efficiency and quality of services to businesses.

The current ownership of ACR (Reggiani family) will remain within the new shareholding structure with 40%. You will also be subscribed to a Shareholders Agreement which will see a Board of Directors of the new ACR made up of 5 members, of which 3 appointed by the Hera Group and 2 by the Reggiani family, with the designation of the brothers Alberto and Claudio Reggiani as Managing Directors.

This operation follows the acquisitions already completed in recent years by the Hera Group (from the Tuscan Waste Recycling, Teseco and Pistoia Ambiente, to the Treviso-based Geo Nova and Aliplast), to which were added more recently the Friuli-based Recycla, the Vallortigara Group from Vicenza and the equity investments in the Marches SEA and Macero Maceratese .

With this operation we consolidate ours leadership in this sector and we aim to further strengthen our offer of integrated environmental services for the benefit of the entire national territory” – he comments Tomaso Tommasi of Vignano, Executive Chairman of the Hera Group.

In addition to the agreement signed today, the partnership will be subject to the usual conditions envisaged for this type of transaction and to all communications and approvals from the competent authorities and entities, as well as, as regards only the stakeholdings concerned, to the effectiveness of certain transactions preliminaries within the ACR. The parties plan to arrive at complete the operation within the deadline of March 31, 2023.
