Tim, Labriola displaces Vivendi: Pansa enters the Board of Directors and Kkr approaches

Twist in Tim's board. The board of directors proceeded, by majority vote, to the co-optation of Alexander Pansa as an adviser. Pansa enters in place of de Arnaud Puyfontaine (representative of the French who has left his seat). So he stays outside Luciano Carta (former president of Leonardo) the Vivendi candidate, the leading shareholder of the Italian telephony group with 23,7%. Tim's second shareholder is Cassa depositi e prestiti, controlled by the treasury, which owns 9,8%. Pansa is currently president of Sparkle (the network of submarine connections headed by Tim), as well as of Telsy, another reality of the Telecom group that deals with cybersecurity. From 2013 to 2016 he was Chief of Police and from 2016 to 2018 Director General of the Security Information Department.

Pansa's appointment is undoubtedly a slap in the face for the French group, which, according to Il Sole 24 Ore, would be ready to immediately convene a meeting, considering it an affront that the Board of Directors fail to consider the fact that the indication on the name comes from the first shareholder.

Tim, final rush for the net

Tim yesterday, on Wednesday 14 June, closed up 4,5% at 0,25 euros per share. The stock of the former telephone monopolist was driven by speculation on the network dossier which will have its next step at the board meeting on June 19, when an initial assessment of the improvement offers presented by Kkr and the Cdp/Macquarie consortium. But the final decision it will arrive on June 22nd. The scenario is enlivened by expectations for the possible entry of F2i, the largest Italian independent manager of infrastructure funds. A few days ago the initial offers were revised upwards and brought to around 22 billion. However, Vivendi – now at loggerheads with Labriola – still deems this figure insufficient, considering at least 30 billion euros the fair figure. And the co-optation of Pansa as adviser shifts the balance, strengthening the role and consensus towards the CEO, Peter Labriola, now at loggerheads with Vivendi. A very different scenario if instead the man who expresses the French, that is Carta, had entered the Board of Directors.
