New coup of Mfe-MediaForEurope: acquired a Company share in PortugalAfter taking control of the German company ProSiebenSat.1, it is expanding into the Portuguese market. taking over 32,9% of Impresa Sgps, the historic Portuguese media company now in the hands of heirs of Pinto Balsemão, publisher, politician and former prime minister, owner of the Sic television networks and important newspapers, including the weekly by the newspaper Expresso, and various digital and print platforms. The operation, carried out with the support of Mediobanca, is part of the pan-European strategy of the group led by Pier Silvio Berlusconi, allowing Mfe to operate in six countries – Italy, Spain, Germany, Austria, Switzerland e Portugal – and strengthening its presence in the Iberian Peninsula and Europe.
Operation details
Subject to the approval of the shareholders of the Company, the board of directors will decide an increase in share capital dedicated to Mfe equal to about 17,3 million euro, through issue of 82,5 million shares al unit price of 0,21 eurosor, corresponding to the weighted average price of the Company's shares in the six months preceding 15 October 2025 (inclusive). closing, planned within 45-60 days, is subject to standard conditions precedent, including clearance from the Portuguese Securities Market Commission and approval by Impresa's shareholders. The agreement also provides for a shareholder agreement between Mfe and Impreger, the company owned by Pinto Balsemão's heirs, who will retain control of the group.
