Renato Pagliaro president, Alberto Nagel chief executive officer, Dieter Rampl and Marco Tronchetti Provera vice presidents: Mediobanca top management confirmed. This is the outcome of the first meeting of the new board of directors of Piazzetta Cuccia, appointed today by the assembly.
The board of directors also set up the nomination committee, made up of five directors, three of whom are managers (Pagliaro, Nagel and Francesco Saverio Vinci) and two independent directors (Angelo Casò and Elisabetta Magistretti). The committee is supplemented by two other independents – Roberto Bertazzoni and Anne Marie Idrac. There are 8 independent directors out of a total of 22 directors.
Mediobanca's new governance was completed with the related statutory amendments approved today by the shareholders' meeting, thus adapting to European regulations. Among the points approved by the assembly, also the renewal of the already existing proxies for the capital increase and the issue of bonds convertible into shares.
