Mediaset-Vivendi, peace made after 5 years of furious clashes

Eventually between Fininvest-Mediaset e Vivendi, Between Berlusconi e Bolloré, the agreement has arrived. But five years of quarrels and furious clashes passed before peace was reached, officially announced yesterday by the two groups.

The agreement ends all pending litigation, lawsuits and complaints: “Vivendi he will favor – as explained in a note from the Alfa Romeo – the international development of Mediaset, by voting in favor of the abolition of the increased voting mechanism and of the transfer of the registered office to the Netherlands".

THEMediaset assembly, which will certify the agreement with Vivendi, has already been summoned for the 23 June next and on that occasion the shareholder Fininvest will propose the distribution of a extraordinary dividend of €0,30 per share to all shareholders, to be paid from 21 July 2021. Accordingly Vivendi, which has undertaken to vote for it, will receive over 100 million euros.

But the agreements also provide for the gradual exit of the French from Mediaset. Already on the occasion of the closing, which will take place on 22 July next, Vivendi will sell 5% of Mediaset to Fininvest. Not only that: Bolloré, the big boss of Vivendi, is committed to sell the entire Mediaset stake, i.e. 5% within 19,19 yearscurrently in his hands. And Fininvest will have the right to purchase any unsold shares in each year at the agreed price. Ultimately Vivendi will be free to sell or keep a small stake in Mediaset at any time.

The French will finally pay 26,3 million to settle the copyright dispute with RTI and Medusa of the Mediaset group. Goodbye, therefore, to the courts and from today, keep an eye on business.
