Inwit: Tim sells the towers for 1,3 billion to a consortium led by Ardian

Tim yields to the bottom Ardian control of the tower company Inwit. In detail, the agreement provides for a consortium led by Ardian to purchase from Tim 41% of the Daphne 3 holding, which in turn has in its portfolio 30,2% of Inwit.

"Upon completion of the transaction - reads a press release - the consortium led by Ardian will hold a 90% stake in the capital of Daphne 3".

The agreement reached is based on a valuation of the Inwit share equal to 10,75 euros, and corresponds to a collection for Tim of around 1,3 billion euros, in addition to the repayment of the loan of approximately 200 million euros, granted by Tim at the time of the initial 2020 acquisition.

The agreements have been structured in such a way as not to give rise to any takeover obligation.

After the closing, Ardian will hold full and exclusive control of Daphne 3, while Tim will be granted certain minority governance rights, both on Daphne 3 and on Inwit, in order to protect the investment made.
