Generali: Mediobanca, Caltagirone and the funds file the list for the renewal of the board of directors. The unknown remains Unicredit

The puzzle of the lists for the renewal of the board of directors of Generali, in view ofassembly on April 24: Mediobanca, Caltagirone and the funds have already indicated their favorites. The suspense remains for Unicredit that takes time to evaluate all recent moves.

Mediobanca: Sironi and Donnet confirmed

Mediobanca presented a list of 12 candidates. The list, explains a note, "envisages the confirmation of 9 out of 10 directors in office drawn from the list presented by the outgoing board in 2022, which was the most voted with broad support from institutional investors". In particular, "the leadership figures (president and CEO) who, with the management team and the support of the board, have led the group achieving results above the objectives of the 2022-24 Plan are confirmed". The group includes Andrea Sironi (candidate for president), Clemente Rebecchini, Philippe Donnet (candidate for CEO), Luisa Torchia, Lorenzo Pellicioli, Clara Hedwig Frances Furse, Antonella Mei-Pochtler, Patricia Estany Puig, Umberto Malesci, Alessia Falsarone, Elena Vasco and Giorgio Valerio. Mediobanca notes that the presentation of the list was necessary because, in light of the Capital Law, the board of the Lion communicated "not to proceed with the presentation of a list for the renewal of the management body of the company, in light of the circumstance that the reference regulatory framework is not yet complete and the timeframes at present would not be compatible with the authorization and approval process of the necessary changes to the bylaws". Piazzetta Cuccia therefore "started a process, conducted with the support of a specialized advisor" that led to the choice of candidates.

Caltagirone: Flavio Cattaneo at the top of the list

Yesterday evening also the Caltagirone group presented his favorites: Flavio Cattaneo, current CEO of Enel, opens the list of candidates for the renewal of the board of directors of Generali presented by VM 2006, a company in the galaxy of the Lion Group shareholder of Trieste. The list contains in total six names. In addition to the current top manager of Enel there are Marina Brogi, Fabrizio Palermo, Ines Gandini, Stefano Marsaglia and Tiziana Togna.

The Assogestioni list

Previously, the list of Italian managers, filed by Eurizon, Fideuram Poste, Anima, Mediolanum, holders of over 0,7% of the ordinary shares of the Lion. confirmed all the names that have emerged in recent days: the leader is Roberto Perotti, followed by Francesca Dominici, Annelise Sacks and Leopoldo Attolico.

The decision of management committee to nominate its own representatives to the top of Generali, which according to various rumors would have been led by Intesa Sanpaolo, has been discussed for a long time and increases the possibility of a fracture in the Board of Directors. A possible failure to show up, on the contrary, would have favored the list of candidates of Generali.

All eyes on Unicredit

The choice of Unicredit, which holds 24% of Generali, will be fundamental in the meeting on April 5,2, especially after the ECB's No to the use of the Danish Compromise for the takeover bid on Anima di Banco Bpm, which could call into question Piazza Gae Aulenti's offer on Banco.

CEO Andrea Orcel is waiting for the moment and keeping his hands free on every front, awaiting an ever-closer showdown: he could support the Mediobanca list, that of Assogestioni or even that of Caltagirone, in a game of exchanges with the main Italian insurance company at the center.
