Enav: Mediobanca exercises entirely greenshoe

Mediobanca exercised fully the greenshoe option granted by the Ministry of the Economy for 22.600.000 ENAV ordinary shares. This was communicated by the Treasury, reporting that the purchase price is 3,30 euros per share, for a total value of 74,6 million gross of placement commissions. Settlement of greenshoe shares will occur on August 4th. Including the greenshoe option, the offer concerned a total of 252.600.000 shares, 46,6% of the share capital, for a countervalue of 834 million.

The ministry also communicates that Barclays Bank PLC, Credit Suisse Securities (Europe) Limited and Mediobanca acted as coordinators of the global sales offer and, together with Banca Imi, JP Morgan Securities PLC and Unicredit Bank AG, Milan branch, were joint bookrunner of the institutional placement. Mediobanca also acted as placement manager for the public offering and sponsor.

Equita Sim acted as financial advisor to Enav, while Rothschild Global Advisory was the financial advisor to the ministry. The legal advisors for the transaction were Allen & Overy for Enav, Shearman & Sterling for the ministry and Bonelli Erede and Clifford Chance for the global offer coordinators and joint bookrunners. Vitale & Co. acted as an independent evaluator on behalf of the ministry. The firm responsible for the statutory audit of Enav's accounts is Ernst&Young. Barabino&Partners is the communication advisor.
