The showdown for Cattolica Assicurazioni is approaching. While the integration with Generali is proceeding, the Veronese company was hit a few weeks ago by the cold shower of the Ivass inspection which expressly asked for a decisive change of course in governance, as well as limits on the remuneration of the board and the transfer by 2021 of the treasury shares in the portfolio deriving from the withdrawal exercised by the shareholders who have not approved the imminent transformation into a spa. In particular, the president Paolo Bedoni ended up in the crosshairs, which in the last BoD had it examined, among other items on the agenda, the opinion given by the Appointments Committee for the selection of the advisor who will support the Board of Directors in drafting the list of candidates for the renewal of the Council itself.

The final list will be presented at the next shareholders' meeting, which promises to be fiery and which is scheduled for May 13 and 14. "As per the process approved on 28 January last - explains a note issued by Cattolica at the end of the board meeting - the Appointments Committee reported on the investigation carried out to date and proposed to the Board a shortlist of possible company consultants capable of support the Board itself in preparing the list to be presented to the Shareholders' Meeting. The Board has therefore decided to grant the mandate to Spencer Stuart to carry out the role of independent advisor”. After the news, released in the late morning, Cattolica's stock soared on the Stock Exchange, where just before 13pm it gained almost 6%, to 4,33 euros per share.
