The shareholders' meeting of B for Bank ha approved unanimously thecapital increase intended to support the voluntary public exchange offer (OPS) on Banca Popolare di Sondrio. 100% of the capital present, equal to 62,17% of the total, voted in favor of the resolution, confirming its full support for the strategic operation aimed at strengthening BPER's strategic profile in the national banking landscape, consolidating its position in Northern Italy through integration with the Valtellina institute.
Capital increase of over 981 million for the takeover bid
The capital increase includes theissuance of up to 657,4 million new ordinary shares, for a total amount of over 981 million euro, in addition to the premium. The issue price will be determined by the Board of Directors. The new shares will be intended to finance the takeover bid on Popolare di Sondrio, with the aim of acquiring all the ordinary shares of the Valtellina institute. The operation, which also involves the modification of the company statute, remains subject to the authorization of the Bank of Italy.
Dividend of 0,60 euros per share coming soon
During the meeting, the members have 2024 civil budget approved, which closed with a net profit of approximately 1,25 billion euros. A result that confirms the bank's solidity and that has allowed the distribution of a dividend of €0,60 per share, for a total maximum amount of almost 853 million euros, net of treasury shares in the portfolio. coupon will be detached on May 19 2025, with payment scheduled for May 21.
Remuneration policies and incentive plans
The assembly also approved the remuneration policies for 2025 and the short-term incentive plans (MBO 2025) and long-term incentive plans (ILT 2025–2027), both based on financial instruments. To support these mechanisms, the bank will be able to purchase and manage up to three million of its own shares, for a maximum value of 18 million euros.
Finally, it was Giovanni Tincani's appointment formalized, currently head of the Financial Reporting and Reporting Department, to Manager in Charge of preparing corporate accounting documents, effective May 1, 2025. Tincani will replace Marco Bonfatti, who is close to retiring.
