Atlantia, to Castellucci: "Soon out of Alitalia". Meanwhile Benetton rises to 48%

The controlling shareholder of Atlantia, which belongs to the Benetton family, has risen to 47,96% from the previous 46,4% in the motorway holding which, through CEO Catellucci, has announced that he will soon leave his stake in Alitalia.

After the go-ahead by the majority of Gemina's extraordinary shareholders' meeting for the merger by incorporation into Atlantia (which will take place on the basis of the exchange ratio set at 1 newly issued Atlantia ordinary share for every 9 Gemina ordinary shares and 1 Atlantia ordinary share of new issue for every 9 Gemina savings shares), the CEO of Atlantia, Giovanni Castellucci, specified that Atlantia will still be a shareholder of Alitalia but not for long: "They are incompatible roles", observed Castellucci because Atlantia's role "is of infrastructure developer”. Therefore Atlantia in the medium term will no longer be a shareholder of Alitalia, its role is only temporary to allow "ferrying Alitalia into safe hands, which gives a long-term perspective".

The CEO then assured that the new Atlantia, after the merger with Gemina, will not make redundancies but only some rationalisations. “The challenges are so important that they require everyone's contribution. There will be”, he explained, “some rationalizations for some activities: for example the audit will be at group level and not at single company level. But we don't think we're making big rationalizations”. Meanwhile, Edizione srl, the controlling shareholder of Atlantia which belongs to the Benetton family, has risen to 47,96% from the previous 46,4% in the motorway holding company whose shareholders' meeting today approves the merger with Gemina.

The new quota of the controlling shareholder of Atlantia was communicated by the chairman Fabio Cerchiai at the opening of the meeting. Among other changes in relevant shareholders, the Blackrock fund no longer appears in the list of shareholders with stakes above 2%, while it previously had a stake of just over 5%, surpassed on 30 October 2012. Among other stable shareholders Fondazione Crt, which has just over 6%, and Lazard with 2%. In Piazza Affari, at the beginning of the afternoon, the Atlantia share lost 0,73%, with the share trading at 13,51 euros.
