The board of directors of Premafin has begun and could see the resignation en bloc of the directors of the holding company after Paolo Ligresti's request to convene a meeting to appoint a new board.
The hypothesis was expressed by a director of the holding according to which today's meeting could be a short one. To those who asked him if this was due to the possibility of the entire board resigning, the director replied "yes". The hypothesis has not been denied by other advisers.
This morning's Board of Directors met to respond to the request of the judicial guardian of the foreign trusts of the holding company to reconvene a new meeting to examine, and possibly revoke, the resolution on the capital increase reserved for Unipol.
The request of the judicial custodian Alessandro Della Chà was joined by the new initiative of Paolo Ligresti, through his financial company Limbo, owner of 10,3% of Premafin, even if with different motivations.
Considering the technical times, a new Premafin shareholders' meeting should be held in early August, leading to a postponement of the capital increases of Fonsai and Unipol and putting the whole structure of the merger project at risk.
