Premafin announces that yesterday it received the irrevocable resignation letters of Gualtiero Giombini and Riccardo Flora from their positions as directors.
“The effectiveness of the resignations – reads a note – is strictly conditional on the failure by Unipol Gruppo Finanziario to subscribe and fully release the capital increase by 20 July 2012 with the exclusion of the option right resolved by the shareholders' meeting extraordinary session of Premafin on 12 June 2012, in execution of the investment agreement entered into between the same and Unipol on 29 January 2012, as amended by exchange of letters on 22 and 25 June".
Following these resignations, therefore, the majority of directors appointed by the shareholders' meeting ceased to exist and therefore the entire board of directors, pursuant to article 10 of the by-laws, must be considered to have resigned.
