Nexi: Intesa Sanpaolo agreement for 180 million euro acquiring activities in Croatia

After months of negotiations, Nexi has signed the agreement for the purchase of the Intesa unit in Croatia. Closing is expected by the end of 2022

nexi replenishes the banks and strengthens its position in the Balkans. The company led by Paolo Bertoluzzo acquires the acquiring business branch of PBZ Card doo, a Croatian subsidiary of the Group Intesa Sanpaolo. The agreement also provides for a commercial partnership between Nets CEE – a company incorporated under Croatian law belonging to the Nexi Group and a subsidiary of Concardis Holding GmbH – PBZ Card and PBZ Bank as part of the marketing and distribution of Nexi products in the Croatian market, launched on 30 June 2020.

Nexi and Intesa Sanpaolo: the agreement

Against the sale, the group led by Carlo Messina will receive a gross consideration of 180 million euros. The completion of the transaction, expected by the end of the year, is subject to obtaining the usual authorizations from the competent authorities.

Following the recent acquisition of Alpha Bank's portfolio in Greece, the new deal in Croatia would further strengthen the position of nexi in the Balkans, where it later entered the merger with Sia.

Deloitte Financial Advisory assisted Intesa Sanpaolo as an industrial advisor and for financial due diligence activities. PwC TLS Avvocati e Commercialisti acted as legal, regulatory and tax advisor. Mediobanca Banca di Credito Finanziario acted as sole financial advisor.
