NB Aurora acquires 44,55% of Fondo Italiano di Investimento

The figure is more than 75 million, at a discount compared to a fair market value of approximately 88,5 million euros as at 31 December 2017 – The SICAF now has access to a portfolio of 17 minority stakes in small-medium Italian companies.

NB Aurora acquires 44,55% of Fondo Italiano di Investimento

The sicaf NB Aurora has completed the purchase of 44,55% of the shares of Fondo Italiano di Investimento. The price paid by NB Aurora, as determined on the basis of the criteria established by the co-investment agreement, is equal to 75.414.695,30 euros (excluding transaction costs) and is at a discount compared to a fair market value equal to approximately 88,5 million euros as at 31 December 2017, calculated on data relating to 2016. Through the acquisition of shares in the Fondo Italiano di Investimento, NB Aurora has access to a portfolio of 17 minority stakes in small-medium companies companies with great development potential, also at an international level, including Forgital, Mesgo, Rigoni d'Asiago, Sanlorenzo, Megadyne and Ligabue. Turnover, based on the 2017 financial statements already available, grew at a rate of more than 10% compared to 2016.

To facilitate the acquisition of the shares of Fondo Italiano di Investimento, NB Aurora used 43.914.695,30 euros deriving from the listing and a loan granted by Intesa Sanpaolo SpA equal to 31.500.000 euros. NB Aurora's investment strategy will continue with the acquisition of additional shareholdings, above all minority interests in unlisted SMEs, providing capital for development with the aim of financing growth and international expansion projects alongside entrepreneurs.
