Extraordinary shareholders' meetings of Enel and Enel Green Power will be held on Tuesday 11 January to approve the merger project between the two companies.

Furthermore, the report of the Enel board of directors prepared in view of the meeting shows that the company has reserved the right to exceed the limit of 300 million euros to reimburse the shareholders of Enel Green Power who will not participate in the exchange operation aimed at bring foreign assets back into renewables within the group.

The effectiveness of the demerger, as announced by the company, "is subject to the circumstance that the total liquidation value of the Enel Green Power shares in relation to which the right of withdrawal and the right of sale should be validly exercised does not exceed euro 300.000.000".

However, the document specifies that the condition precedent "will also be deemed fulfilled even if the limit indicated above is exceeded if Enel declares its intention to proceed with the purchase of all the shares for which the rights have been exercised".
