Reorganization at home Enel. The Boards of Directors of the South American subsidiaries Enersis, Endesa Chile and Chilectra resolved to start the analysis of a corporate reorganization aimed at separating the electricity generation and distribution activities carried out in Chile from those developed in other Latin American countries.
The objective of the reorganization is to eliminate certain duplications and overlaps that currently derive from the complexity of the corporate structure of the Enersis perimeter in Latin America and to promote the creation of value for all the shareholders of the companies involved while maintaining the benefits deriving from belonging to the Enel Group .
The reorganization plan also provides the possible merger into a single company of the companies which, as a result of the aforesaid demergers, are holders of shareholdings in the other Latin American countries.
These operations should not include the contribution of new cash contributions by the shareholders of the companies involved, who would acquire in the various companies resulting from this reorganization a shareholding proportional to the one held before the reorganisation.
