Edison: Henri Proglio appointed chairman, 5 new board members

Here is the new Edison after the reorganization and the passage into the hands of the French EDF – The new names on the Edison board of directors are those of Beatrice Bigois, Bruno D'Onghia, Adrien Jami, Jorge Mora and Nicole Verdier-Naves.

Henri Proglio is the new president of Edison. She decided today the Board of Directors of the company, in which they joined five new members: Beatrice Bigois, Bruno D'Onghia, Adrien Jami, Jorge Mora and Nicole Verdier-Naves. The news was released by a note from the French-controlled company of Edf. The decision comes after the resignation of the directors who represented Delmi (holding company of Italian shareholders led by A2A and Iren), following the reorganization of the group. By mid-afternoon, Edison's stock traded just below parity.

Proglio (62 years old) has been president and general manager of the energy giant EDF since November 2009, while since February 2011 he has been vice president of the strategic committee for nuclear energy in France. 

Edison's board of directors has also redefined the powers attributed to the chief executive officer. The Internal Control Committee was then integrated, which is now made up of Thomas Piquemal (chairman), Gian Maria Gros-Pietro and Beatrice Bigois. 

The Board also decided to bring the members of the Remuneration Committee to five with the new appointment of Nicole Verdier-Naves, who joins Gregorio Gitti (the chairman), Jean-Louis Mathias, Gian Maria Gros-Pietro, Mario Cocchi and Nicole Verdier-Naves.

Lastly, the BoD designated Roberto Buccelli as the "President Manager". The governance structures will be verified at the end of the tender offer period, expected for the end of July.

Meanwhile, Consob has certified the reorganization of Edison. In its communications on relevant shareholdings, the Commission announced that on May 24 Edf held 80,64% of the share capital, while the previous share was 19,359% (held through Mntc Holding). 

On that date, the agreements reached on 15 February between Edf, A2A and Iren were finalised. In detail, EDF took over 50% of Transalpina di Energia from Delmi for 783 million euros (the other 50% was already in the hands of the French), while the Italians bought 883% of Edipower (70 % by Edison and 50% by Alpiq). The Transalpina di Energia holding held 20% of Edison.
