Edison: A2A recalls that it paid 1,58 euros per share for Transalpina di Energia. Edf counter-proposal today

The fight over the Edison case is heating up. And A2A recalled that its participation in Henri Proglio's company is indirect and through the Italian-French holding Delmi, 51% controlled by the Milanese multiutility. In 2005, the Italian shareholders gathered in Delmi had acquired 50% of Transaplina di Energia, the company that holds absolute control of Edison – the remaining 50% of Transalpina di Energia is owned by Edf. And in 2005 the Italian shareholders in Delmi had paid a value equivalent to 1,58 euros per Edison share. A2A specified it today in a note.

"It is known, and verifiable in all company documents, that A2A does not directly hold Edison shares but a stake equal to 51% of Delmi (the other shareholders are Iren SpA, Dolomiti di Energia SpA, Sel SpA, Mediobanca, Banca Popolare di Milano and Fondazione CRT)”, explained A2A.

The clarification took place on a particular day: in fact today Edison's French should make the counter-post on the value to be given to the put option on the 30% stake in Edison which will remain in the hands of Delmi. The French consider the value of 1,58 euros inadmissible proposed by the Italians last week and within today the Proglio Group will propose a lower price. To compensate for this difference of views, Edison could offer some of its hydroelectric assets to the Italians.
