At Piazza Affari Buongiorno flies to 1,97 euros, equal to an increase of 13,12%, adapting to the price of 2 euros of the voluntary and totalitarian offer launched by the Japanese NTT Docomo, through its German subsidiary, and preliminary to a merger by incorporation into NTT or one of its subsidiaries. The offer, which therefore aims at the delisting of Buongiorno shares from the MTA list, will entail a maximum outlay of approximately 223,7 million euros paid in cash for Docomo Deutschland.
“The Offeror believes that the delisting will increase Buongiorn's strategic and operational flexibilityor in the sector in which it operates, sector in which NTT intends to support the Issuer's strategic investments aimed at strengthening its competitive position”, reads a note containing the details of the offer
Mauro del Rio and Capital B Lux Sarl have undertaken to bring their own shares, equal to 20,289%, in acceptance of the offer. “The acquisition will combine the innovative mobile phone business and related services know-how developed by the Offeror and its controlling shareholders in Japan and other countries with the Issuer's advanced mobile phone technologies and its broad global network of consumers,” explains the note.
The execution of the offer is subject to obtaining a participation by more than two thirds and subject to the go-ahead from the competent authorities. Docomo Deutscheland was assisted by Nomura Securities as financial advisor.
