Company Description

Intesa Sanpaolo is an Italian bank and one of the leading banking groups in Europe. The bank was founded in 2007 by merger of Sanpaolo IMI and BancaIntesa. It is the largest Italian bank by number of branches and by market share, and the 27th in the world. The group has approximately 105.000 employees.

Intesa Sanpaolo is among the leaders in Italy in the retail, corporate and wealth management sectors.

The Group has more than 13 million customers and a network of 4.200 branches throughout the country. The share of coverage on the Italian market is over 12% of the total.
Internationally it has about 7 million customers; operates in more than 25 countries, through various subsidiary banks. Intesa Sanpaolo's international activities are mainly carried out in Central-Eastern Europe, the Middle East and North Africa.

Economic and financial analysis of the company

Intesa Sanpaolo was born in January 2007 from the merger of two large Italian banks: Banca Intesa and Sanpaolo IMI.

With the acquisition, it receives 3,5 billion euros from the Italian government in compensation for the impact on capital ratios deriving from the acquisition of the assets of the two banks.

In November 2017 he gave up Infogroups at Engineering and sells the entire shareholding (50%) of allfunds bank held through the subsidiary Eurizon Capital Sgr.

In 2019 it incorporated by merger the Banca CR Firenze SpA, Cassa di Risparmio in Bologna SpA, Cassa di Risparmio di Pistoia e della Lucchesia SpA, Banca Apulia SpA and Banca Prossima SpA.

In February 2020, CEO Carlo Messina surprisingly announced the launch of an OPS Voluntary public exchange offer for 4,1 billion euros against UBI Banca of which 3,5 billion in shares and 652,2 million in cash. A cash adjustment of 0,57 euro for each UBI share delivered is subsequently added to the offer, thus becoming aOPAS.

The offer closes on 30th July 2020 with the acquisition of 91,0149% of the UBI share capital. Having exceeded 90%, the delisting procedure was launched which made Intesa Sanpaolo the sole shareholder of UBI Banca.
Ubi Banca was merged into Intesa Sanpaolo in April 2021.

The acquisition of Ubi Banca also resulted IW Bank in the Group.
