Corrado Passera raises the curtain on the new bank resulting from the merger between Spaxs and Banca Interprovinciale. The Spaxs shareholders' meeting in fact approved the business combination with Banca Interprovinciale: 72,15% of the capital voted in favor (equal to 98,72% of the capital present at the meeting), 0,9% abstained (1,27, XNUMX% of the capital present), no one against. In the extraordinary part the partners also gave green light for the planned capital increase of 10,9 million, the new Articles of Association and the amendment of the regulation of Spaxs' share rights with the favorable vote of 71,7% of the share capital present (98,1% of the share capital) and the abstention of 1,38% (1,89 % of shares present). To be effective, the resolution had to receive the ok of two thirds of the capital.
Spaxs will therefore buy 79,89% of Banca Interprovinciale by paying 44,7 million in cash, while the remaining 19% will be acquired with a share swap. At the end of the meeting, the executive chairman of Spaxs and director of the new bank, Corrado Passera, presented the name of the new institute. It will be called Illimity: “A name – underlined Passera – which presents itself, which contains the project and the values in which we believe. In this name – he added – there is the commitment to go a little beyond the limits, as entrepreneurs do, there is the desire to say let's go beyond the form, always look at the substance, let us remove the limits, the laziness also typical of this sector”.
