Hera–Amga merger: the go-ahead from the Italian Antitrust arrives

One of the conditions precedent envisaged in the agreement signed on 23 January 2014 is fulfilled and a further step is thus taken in the process of defining the aggregation of the Udine multiservice with the Hera Group - The merger operation, in the event of a positive outcome of the route, will take effect from 1 July 2014.

The go-ahead from the Antitrust Authority has arrived today with respect to the project which envisages the aggregation of Amga-Azienda Multiservizi SpA and Hera SpA Thus one of the conditions precedent provided for in the agreement signed on 23 January 2014 is fulfilled and thus a further step in the process of defining the aggregation of the Udine multiservice with the Hera Group.

In the meantime, the authorization process of Hera's public shareholders for the operation is underway, which has seen the expression of 14 entities, including municipal administrations and public holding companies and which should see the conclusion by the end of March.

The merger must then be approved by the Shareholders' Meetings of Hera SpA and Amga – Azienda Multiservizi SpA. If the outcome is positive, the merger will take place starting from 1 July 2014.
