Enel: partial spin-off of US green businesses

Enel kicked off the partial demerger of Enel Green Power. The project provides for the assignment to Enel of the equity investments held by Enel Green Power in Enel Green Power North America ed Enel Green Power Development North America, companies active in the renewable energy sector in North America.

Enel specifies in a note that the transaction is part of a broader project of reorganization and rationalization of activities in North America, where the group aims to "consolidate leadership" in the sectors in which it operates, while ensuring the operational efficiency of the service offered to customers in the local market, in line with the 2019-2021 Strategic Plan.

Since Enel holds 100% of EGP, no exchange ratio is envisaged and Enel will not proceed with any increase in its share capital or with the assignment of shares. Nor is there any change to Enel's bylaws.

Enel shareholders who hold at least 5% of the share capital will be able to request by October XNUMXst that the decision approving the demerger be adopted by an extraordinary meeting of Enel shareholders.

Mid morning Enel's stock on the Stock Exchange gains 0,6%, to 6,712 euros.
