Acea and Suez have signed the definitive contractual agreements regarding the creation of a corporate joint venture for the design of an advanced intelligent metering system for the water service (the so-called smart meter) and its subsequent production and marketing in Italy and abroad on the basis of a specific commercial partnership the "Project". With the aim of improving the quality of service and commercial development in Italy and internationally with i smart meters.
As already announced to the market at the beginning of December, the project involves the construction of a new generation multifunction meter, equipped with Nbiot connectivity, which, in the opinion of Acea and the Suez Group, constitutes a turning point in the communication technologies of the future in this sector. To this end, the companies involved are jointly developing a patent, pooling their complementary skills.
According to the agreements, the obligation of the parties to implement the Project "is conditional upon obtaining, no later than 31 December 2022 or the different deadline agreed in writing between the parties, a provision from the competent antitrust authority that authorizes the transaction without the provision of commitments and/or conditions".
It should be recalled that the Project qualifies as a "related party transaction", due to the involvement in the Suez Project which holds 23,33% of Acea's share capital. The legal aspects of the operation were followed by Chiomenti for the Roman multi-utility and by the Gianni & Origoni studio for Suez.
