The expected Carige board of directors will be held next week, which will have to convene the extraordinary shareholders' meeting for the renewal of the institute's corporate bodies. According to what Radiocor learns, the date of the board is being defined and in the next few hours the president of the bank Giovanni Berneschi should issue the summoning letters to the directors for the meeting to be held between 19 and 23 August.

In the afternoon, the Carige Foundation – the banking group's main shareholder – had unanimously approved the request to urgently call the shareholders' meeting on the basis of article 2367 of the Civil Code. On the basis of this article, in fact, the directors of the bank 'must convene the shareholders' meeting without delay when so many shareholders representing at least one twentieth of the share capital request it'. The urgent request by the Foundation effectively dissolved the stalemate created following the failure to convene the board of directors by chairman Berneschi: the board meeting to convene the extraordinary shareholders' meeting became necessary after eight directors announced their resignation in the first days of August, thus proposing the dissolution of the same board of directors.

The exit of the directors, representatives of both the Foundation and the French members of the Bcpe, came on the basis of the differences between the president of the institute and the number one of the Flavio Repetto Foundation regarding the modalities of the ongoing restructuring process and the project proposed by Berneschi himself to involve Unipol as a major shareholder in Carige's shareholding.
