Control of Campari becomes 100% Luxembourg. The Garavoglia family has in fact reduced the holding chain, through the merger of the Italian Alicros into the Lagfin safe, domiciled in the Grand Duchy.

As reported by Radiocor, last September 28, the notarial deed of the "Common cross-border merger project between Lagfin, as incorporating company and Alicros, as incorporated company" was registered.

The purpose of the operation is to simplify the structure of the group to which Alicros belongs, at the same time streamlining processes and reducing management costs.

However, an Italian branch of Lagfin will be created, Lagfin Sca, in Sesto San Giovanni, where Alicros spa is currently based, which will be assigned part of the assets and liabilities of Alicros itself.

The merger provides a capital increase of 1,7 million euros as remuneration for the contribution by Alicros, through the issue of 21.465 limited shares, with no par value, which will be assigned entirely to Alicros shareholders other than the merging company Lagfin based on an exchange ratio of 0,23 limited shares of Lagfin in exchange for 1 share of Alicros.

The share capital of Lagfin will rise from 2 to 3,7 million, divided between 46.465 shares.

In Piazza Affari, the Campari stock dropped 1,9% in line with the negative performance of the Ftse Mib (-0,8%).
