The board of directors of Banca Carige has given the green light to the process aimed at the disposal of a second portfolio of non-performing loans for an amount of 1,2 billion, to be carried out by 2017 and the composition of which will be identified by the end of July. The Genoese bank communicates it through a note.
The purpose of the operation is to streamline and simplify the organizational structure, while simultaneously reducing administrative costs.
During the board meeting, the directors also approved the merger by incorporation of Banca Cesare Ponti into Banca Carige. The operation will also be implemented in this case by the end of the year.
Finally, with regard to governance, the board, on a proposal formulated by the nomination committee, co-opted Luisa Marina Pasotti as director. Speaking of the internal board committees, Francesca Balzani has been appointed member of the Risk Committee, replacing Giuseppe Pericu, Luisa Marina Pasotti and Ilaria Queirolo join the remuneration committee. Paola Maria di Leonardo becomes General Counsel of the Carige group.
It should be emphasized that the Apollo fund challenged, requesting its annulment, the resolution passed by the shareholders' meeting of 28 March regarding the authorization to exercise the liability action against the former top management of the Ligurian bank.
In the meantime, in Piazza Affari, the Banca Carige share is heading towards a new positive closure, gaining 3,3% to 0,26 euros just a few minutes after the end of the transactions. Since the beginning of July, the increase is equal to 37,96%.
