Company Description

Webuild SpA is an Italian group operating in the construction and engineering sector. It creates major works and complex infrastructures for sustainable mobility, hydroelectric energy, water, green buildings. The name Webuild and the new denomination hired since May 2020 by Salini Impregilo SpA..
The head office is in Milan.

The Webuild Group is among the global leaders in the sustainable mobility sector and one of the main contractors in the environmental sector (1st Italian contractor). Webuild is among the top 10 operators in the United States of America and the Middle East in terms of revenues generated outside the domestic market.

Webuild is present on all continents in more than 50 countries. It has 70.000 employees.

Webuild has participated in the construction of various infrastructure projects in Italy and abroad. The main works were: the Turin-Milan high-speed line, the new Panama canal, the M4 underground line in Milan, the Rogun dam in Tajikistan, the new bridge in Genoa and the Grand Paris Express underground.
It has built 257 dams and hydroelectric plants, 6.830 km of railway lines, approximately 400 km of underground lines and over 1.450 km of underground works and has completed 51.660 km of roads and motorways and approximately 350 km of bridges and viaducts.

At the end of 2020 Webuild had a total order backlog of 41,7 billion of Euro, with more than 89% of revenues from works related to projects related to the advancement of the United Nations Sustainable Development Goals (SDGs).

Economic and financial analysis of the company

Webuild Spa is the new company name of the original Salini Impregilo SpA assumed on 15 May 2020.

The Salini Impregilo Spa Group was born in 2014 from the merger between Salini SpA and Impregilo SpA, two Italian companies active in the construction sector. Impregile it was born in 1955 as a consortium of companies while the Salini group Salini group was born in Rome in 1936 when Peter Salini, progenitor of the family, he undertakes the activity of builder. The two companies were among the leading companies in the sector and ranked first in the ranking of Italian companies operating abroad.
The merger takes place by Salini following some operations: in 2009 Salini acquires Todini Costruzioni Generali SpA and through this purchase the company enters the share capital of Impregilo. In 2012 he bought a 29,9% stake in Impregilo. In 2013 Salini launches a takeover bid on Impregilo, at a price of 4,00 euro per share, achieving 92% control and starting the merger procedure. In September 2013 the Impregilo shareholders' meeting approves the merger by incorporation of Salini SpA into Impregilo SpA and the change of name to Salini Impregilo SpA starting from 1 January 2014.

In January 2016 Webuild acquired Lane Industries, the largest highway builder in the US, for $406 million.

In November 2018, the Group expressed its interest in the purchase of Astaldi, an Italian company that operates in the construction sector worldwide, which was in debt of 2 billion euros against an order backlog of over 25.

After months of negotiations with Cassa Depositi e Prestiti (CDP) and the creditor banks (UniCredit, Intesa Sanpaolo, Banco BPM) Salini Impregilo's plan for the rescue of Astaldi is approved. The named plan “Project Italy” led to the creation of a national construction and procurement entity ready to relaunch the sector which represents 8% of the Italian GDP. The agreement envisaged, in an initial phase, a capital increase of 600 million (50 million from Salini Costruttori, 250 million from Cassa Depositi e Prestiti, 150 from the creditor banks and 150 from the market) and subsequently a second phase, with the provision of a capital increase of 225 million by Astaldi, reserved for Salini Impregilo; moreover, a loan of almost one billion euro was allocated.
In November 2020, the capital increase by Webuild takes place, which has become the first shareholder of Astaldi with 65% of the capital. In 2021 Webuild completes the acquisition of Astaldi which has been delisted from the Milan Stock Exchange since August 2021.

In April 2019 Salini Impregilo took over the majority stake of 63,5% of Cossi Construction SpA.. The remaining share capital of the company remains held by the Cossi family and Banca Popolare di Sondrio, each of which retains 18,25% of the shares.

In June 2021 obtains, through the subsidiary Lane Industries, a $16 billion contract with Texas Central for the construction of the high-speed rail between Dallas and Houston, in the United States.
