Company Description

Davide Campari-Milano NV is an Italian company, with registered office under Dutch law, active in the sector of the production of non-alcoholic and alcoholic beverages. Campari was founded in 1860, in June 2020, it moved its registered office to the Netherlands, with the transformation of the corporate form into a NV (Naamloze Vennootschap, the joint-stock company under Dutch law) maintaining the tax office in Italy. The company is among the world leaders in the sector. It is famous all over the world for its historic flagship product, the Campari bitters. It produces drinks for aperitifs, soft drinks, liqueurs, wines and spirits.

It has a broad portfolio with over 50 brands. Among the main brands are: Aperol, Campari, Cinzano, Grand Marnier, Wild Turkey, SKYY Vodka, Crodino, Averno, Cynar, Glen Grant and Zedda Piras.

The Campari group is present in over 190 countries around the world. It has 22 production plants and its own distribution network in 22 countries. It has more than 4.000 employees. The head office is in Sesto San Giovanni.

Campari has been listed on the Milan Stock Exchange since 2001. The company is controlled by Garavoglia family Through the Lagfin SCA. The Garavoglias bought Campari in 1982 from the last heir of the family.

At the closure of the offer in December 2021, it is communicated that the participation rate of employees who have decided to join the plan is equal to 51,6% of all eligible employees.

Economic and financial analysis of the company

Campari was founded by Gaspare Campari in Milan in 1860 with the opening of a distillery. The company quickly became known for its iconic bitters. Upon Gaspare's death, the management passed to one of his sons, David Campari, which in 1896 changed its name to Gaspare Campari – Campari Brothers Successors.

In 2003 he acquired from Barbero1891 the brands Aperol, Aperol Soda, Mondoro, Barbieri and Serafino for 222 million euros.

In 2004 he bought the Italian wine company richwoman for 11,3 million euros.

In 2005 he opened a new plant in Novi Ligure.
Acquires the winery Teruzzi & Puthod of San Gimignano.

In 2006 he acquired the distillery and the brand Glen Grant for 130 million euros.

In 2007 Campari acquired the tequila Cabo Wabo, created by Van Halen singer Sammy Hagar.

In 2009 he completed the acquisition of Skyy Spirits LLC in which he already owned minority shares. Skyy Spirits will be renamed Campari Americas. In the same year it makes its largest acquisition in history; buy the company Wild Turkey, owner of the Wild Turkey and American Honey brands for 418,4 million euros.

In 2012 he acquired lascelles, leader of rum in Jamaica, for 317,3 million euros.

In 2014 Campari bought the Averna Brothers, producer of the homonymous amaro and owner of the trademarks Braulio and Frattina, for 103,75 million euros. In Canada, it acquires the whiskey maker Forty Creek Distillery Ltd. for C$185,6 million.

In 2015 he sold the Casoni Liquor Manufacturing SpA for 3 million euros and the Enrico Serafino wines for about 6 million euros.

In 2016 it took over 17,19% of the Societe des Produits Marnier Lapostolle (SPML), owner of the trademark Grand Marnier and launches a tender offer at a unit price of 8,05 euro per share on the shares on the market.

In 2017 he obtained the Bulldog London Dry Gin for about 82,3 million euros.

In 2018 Campari sells for 80 million euros Lemonsoda, Oransoda and the Crodo brand (not the Crodino) to the Danes of Royal Unibrew. Acquires the company Cognac bisque from the Australian group Thistle for 53,9 million euros.

In December 2019 he reached an agreement with Baron Philippe de Rothschild SA. to acquire its distributor on the French market for 60 million euros Philippe de Rothschild France Distribution (RFD). The purchase is completed in 2020 and the new company name is changed to Campari France Distribution.

In 2020, he enters the e-commerce company Tannic SPA by acquiring a 49% stake in the share capital for 23,8% million euro. Buy the French company Champagne Lallier for 48,3 million euros.
