Company Description

Autogrill SpA is an Italian company that operates in the catering services sector for travellers. Autogrill catering outlets are present on motorways, airports, railway stations and it is also present in some cities and shopping centres. It is the first operator in the world in catering services for travellers.

The company operates in 30 countries, manages approximately 3.800 points of sale and is present in 142 airports. As of 2020 it has 31.000 employees. Autogrill is mainly active in Italy but is also present abroad.
In North America it is present through the subsidiary HMSHost Corp. at over 84 airports and 79 petrol stations. In Northern Europe, Asia, the Middle East and Oceania it works through the division of Avola / HMSHost International.

Has in portfolio more than 300 brandsowned and licensed.

Autogrill has been listed on the Milan Stock Exchange since 1997 and is part of the FTSE Italia Mid Cap index.

The major shareholder that controls Autogrill is Schematrentaquattro Srl which holds 50,1% of the share capital. Schematrentaquattro Srl is 100% owned by Edizione Srl, the financial holding company of the Benetton family.

The remainder of the shareholding is held by institutional investors and individual shareholders.

Autogrill's share capital amounts to Euro 145.761.789,78 consisting of 385.033.542 ordinary shares, with no par value. All Autogrill ordinary shares have the same rights.

Economic and financial analysis of the company

The Autogrill brand was born in 1977 from the merger of three company branches: Alemagna, Motta and Pavesi, companies active in motorway catering in Italy. Until then, the three companies had divided up the motorway catering during the years of Italy's economic boom. The 1973 oil crisis put the three companies in crisis and they were taken over by IRI. In 1977 IRI decides to merge the three companies into a single company which was called Autogrill SpA, owned by SME (Società Meridionale di Elettricità), in turn controlled by IRI.

In the 80s, thanks to a new economic recovery, Autrogrill grows and expands. New brands are created to diversify strategies, brands are born Hello e Spicy.

In the nineties Autogrill decided to enter the foreign market.

In 1993 he acquired in France Les 4 Pentes (Elitair group) and in Spain 50% of busty.

In 1995 the privatization of the company took place. Autogrill is bought by a consortium led by Edizione Holding srl, the Benetton family's finance company.

In 1997 Autogrill was listed on the Stock Exchange.

The strategy of the new management is that of greater internalisation. At the end of the nineties it acquires AC Restaurant in Belgium and Holland, Wienerwald A in Austria, Wienerwald D in Germany e Sogerba in France.

The great international growth takes place in 1999 when it acquires from the Marriott family the Host Marriot Service (HMSHost), a leading company in the motorway and airport catering sector in the United States. Thanks to this acquisition gets the granting and licenses of various trademarks among which Au Bon Pain, Baskin Robbins, Burger King, Dunkin' Donuts, Häagen-Dazs, Kentucky Fried Chicken, Mrs. Fields, Pizza Hut, Sbarro, Starbucks, Taco Bell and Wendy's.
Autogrill becomes the first global operator in the catering sector for travellers.

In 2001 he obtained 100% of Transfer Holding AG, leader in Switzerland in the catering sector in airports, railway stations and motorways.

In 2002 he bought 70% of the capital of I receco, a Spanish company active in the railway stations of Madrid Atocha, Seville and Córdoba. Through HMSHost buy SMSI Travel Centers Inc which manages restaurant services along Highways 400 and 401, the two main highways in Ontario (Canada).

In 2003 he obtained the majority of Anton Airfood, a North American airport catering company. It comes to Europe created HMSHost Europe to develop the airport network.

In 2005 he formed an alliance with Altadis for the acquisition in co-participation of Aldeasa, a Spanish company in the airport retail and duty-free sector active in various regions of the world.
In Germany it detects 49,9% of Steigenberger Gastronomie.

In 2006 Autogrill consolidated its presence in North America by acquiring, through HMSHost Corporation, Airport Terminal Restaurants (ATR), the division of licensed assets of Dear Operations Limited, Canada's leading integrated restaurant operator.

In 2007 he acquired Alpha Group, restaurant and airport retail operator on land and on board.

In 2008 Autogrill acquires World Duty Free, a leading operator in the airport retail sector by BAA. Takes over the majority of Aldeasa.

In 2010, it transferred the supply of products and goods for catering on board Alpha Group aircraft to Dnata.

In 2012, the activities of Alpha Group, Aldeasa and World Duty Free were integrated into a single entity; World Duty Free Group is born, Autogrill's Travel Retail & Duty Free division. The following year the division will be spun off from Autrogrill into a new company World Duty Free SpA. 1 World Duty Free share is assigned for each Autogrill share held.

In 2013 it entered the Russian market through agreements with the companies Novikov Group and Ginza Project, establishing Autogrill Russia, which manages catering at St. Petersburg's Pulkovo International Airport.

In March 2015 comes sold 50,1% of World Duty Free SpA, owned by Benetton, to the Swiss group Dufry for 1,3 billion euros.

In 2016 he acquired Stellar Partners, a US company specializing in airport convenience retail.

In 2017, the group was reorganized to make governance more efficient: a parent company was established to which five operating companies refer: Autogrill Italia SpA, Autogrill Europe SpA, HMSHost, Nuova Sidap Srl and Autogrill Advanced Business Service SpA.

In recent years it has strengthened its brand portfolio by signing licensing agreements with brands such as Leon, Pret à Manger, Shake Shack and Panera Bread.
