Zoppas Industries acquires a majority stake in Bluewind and focuses on smart heating.

Irca – Zoppas Industries, an Italian group that operates in the production of electrical components and machines for the food industry, is focusing on intelligent heating systems with theacquisition of the majority of Bluewind, a Veneto-based company specializing in the design of electronics and software for complex products.the operation involves two subsequent phases, with a progressive increase in participation until controlling the entire capital of Bluewind.

The goal is to integrate thermal management technologies with sensors, connectivity, and software, developing solutions capable of monitoring their operation and using data to improve performance. This path aims to expand the group's opportunities in the automotive, aerospace, medical, railway, and industrial machinery sectors.

From heat technologies to control electronics

Founded in 1998 in Castelfranco Veneto, Bluewind He follows the development of electronic systems and embedded software, from technological architecture definition to industrialization. His expertise ranges from power electronics to control systems, wireless technologies, cybersecurity, artificial intelligence, the Internet of Things, and cloud platforms.

The acquisition brings these specializations into line with Irca – Zoppas Industries' industrial experience in the design and production of heating systems and elements. The meeting point is the development of integrated products, also intended for applications where reliability, safety and certification possibilities are essential requirements.

“The acquisition of Bluewind represents a strategic step in the growth path of Irca – Zoppas Industries”, declared Gianfranco Zoppas, president of Zoppas Industries. “The integration of Bluewind's expertise in electronics, embedded software, and connectivity with our technological and industrial heritage will allow us to immediately accelerate the development of more complete, intelligent, and reliable solutions.”

Sensors and predictive maintenance: the role of research

Le main synergies They will focus on research and development. Bluewind's expertise will be incorporated into the group's projects to create heating systems equipped with electronic controls, sensors, management software, and diagnostic tools. The integration aims to optimize consumption and performance, enable remote monitoring, and introduce predictive maintenance functions. For Irca – Zoppas Industries, this also means strengthening its ability to support customers from the early design stages, expanding its offering of complete systems.

“We want to quickly transform these synergies into new projects, greater value for customers, and further growth opportunities in higher-tech markets,” added Zoppas.

Bluewind will continue to operate as a specialist centre of expertise in electronics and embedded software. Collaboration with the group's teams will involve both joint projects and the progressive incorporation of its technologies into product lines. Zoppas Industries' international presence, production capacity, and sales network will also offer the Castelfranco Veneto-based company the opportunity to participate in global projects.

Bluewind's perspectives and the operation's advisors

“We have identified in Irca – Zoppas Industries the ideal industrial partner to accompany Bluewind in the next phase of development and enhance the path built in over twenty-five years of activity”, they commented Nicola Bergamin e Stefano Costa, Bluewind partners. “This integration opens up new growth opportunities, while preserving Bluewind's expertise, people, and innovation capabilities.”

BModel acted as financial advisor to Irca – Zoppas Industries in the transaction. Legal aspects were handled by in-house lawyer Silvia Buso and Studio Grimaldi Alliance Treviso, while tax consulting was entrusted to Consimp - Studio Associato di Consulenza d'impresa.

Bluewind and its partners were assisted by Studio Pietrobon & Associati for tax and corporate aspects, by Eye to Business, Hepteris Studio Associato and Dgpa as financial advisors and by Studio Leofortis for the legal part.
