Amplifon take home with the capital increase reserved for qualified investors was a successThe Milanese group, world leader in hearing solutions and services, has placement of 45,3 million ordinary shares completed newly issued, equal to approximately 20% of the share capital before the operation, collecting overall 453 million euro gross. The transaction was completed through an accelerated bookbuilding process and was oversubscribed by several times the offer. This signal allowed the issue price of the new shares to be set at €10 per share. Settlement of the placement, with delivery of the shares and payment of the consideration, is scheduled for May 26, 2026.

Capital Enhancement for the Acquisition of GN Hearing
The resources raised will be entirely allocated to financing the cash component of theacquisition of the “Hearing” business from GN Store NordThe recently concluded capital increase is therefore part of the broader industrial plan announced by Amplifon, which aims to strengthen its international profile through the GN transaction. The company reiterated that no further capital increases are foreseen related to the same acquisition, with the exception of the issuance of 56 million Amplifon shares reserved for GN at the time of closing. GN has accepted a lock-up on these shares for up to 15 months after the closing of the transaction.
The mechanism will be gradual. Less than approximately one-third of the shares will be available for sale nine months after closing, while the remainder will be released in subsequent tranches until the final expiration of the lock-up period, set at 15 months.
Ampliter remains controlling shareholder
With the completion of the placement, Amplifon will issue 45,3 million new ordinary shares for a gross value of €453 million. Of this amount, €906 will be at par value and €452,094 million will be at share premium. The new shares will be listed and traded on Euronext Milan, STAR segment, starting from the issue date.
After the increase, Amplifon's total share capital will be equal to 5.433.772,40 euros, divided into 271.688.620 ordinary shares with a par value of 0,02 euros each.
At the operation they have Shareholders Ampliter and Tamburi Investment Partners also participated, who had committed to subscribe for new shares for 100 million and 30 million euros respectively. At the end of the placement, Ampliter remains the controlling shareholder of the group with a stake equal to approximately 38,69% of the share capital and 70,09% of the voting rights.
Amplifon: higher free float and more liquidity on the stock
In addition to financing the cash component of the acquisition of GN Hearing, the placement also aims to expand Amplifon's institutional shareholder baseThe operation in fact increases the free float and aims to strengthen the liquidity of the stock on the market. According to the company's announcement, the free float will grow by approximately 28%, representing approximately 59% of the capital. As part of the transaction, Amplifon and shareholders Ampliter and Tamburi Investment Partners have undertaken a 180-day lock-up commitment, in line with market practice for similar transactions. The capital increase has therefore been completed with robust demand and a more market-friendly shareholder structure, while Amplifon prepares the next step in its GN Hearing strategy.
