LLeonardo shareholders meeting, at which 53,35% of the share capital was present, approved the Company balance sheet for the 2024 financial year closed with “a solid group performance and significant growth in volumes, good profitability and a positive trend in terms of cash generation,” the company emphasizes. Last year, the defense company recorded revenues up 11,1% to 17,8 billion, EBITDA up 12,9% to 1,5 billion and orders up sharply (+16,8% on 2023 to 20,9 billion).
Leonardo's shareholders also examined the consolidated financial statements and approved the company's 2024 financial statements. UTM Services & Systems, incorporated as of January 1, 2025.
Green light for the dividend
The ordinary shareholders' meeting approved the proposal for the distribution of a dividend equal to 0,52 euro to be drawn from the 2024 profit, gross of any withholding taxes. The coupon will be paid starting from 25 June 2025, with the “ex-dividend date” scheduled for 23 June 2025 and the “record date” (i.e. the date of entitlement to payment of the dividend itself) set for 24 June 2025.
The request for authorization was also approvedpurchase and disposal of own shares, within the limits of the distributable profits and available reserves resulting from the latest approved financial statements, for a maximum quantity of shares that can be purchased equal to 600.000 ordinary Leonardo shares (equal to approximately 0,104% of the share capital), for a period – with regard to the purchase – of eighteen months starting from the date of the shareholders' resolution, without time limits as regards the disposal of the treasury shares already in the portfolio and those purchased on the basis of today's resolution.
The shareholders also approved the amendment to the 2024-2026 Long-Term Incentive Plan for the Leonardo Group's management; to the 2025-2027 widespread share ownership plan for Leonardo employees; and to the remuneration report.
“In the Extraordinary Session, today's Assembly approved the proposals of modification of some clauses of the Articles of Association of Leonardo (amendment of articles 5.1ter, 22.3 and elimination of article 34) aimed, in addition to a formal refinement of the statutory text, at adapting the governance rules to the role of the Company as a relevant player in the field of global security, in line with the Industrial Plan”, the company communicates.
