Veneto Banca has signed a pre-guarantee agreement with Banca Imi relating to the planned capital increase under option, for an amount sufficient to cover the entire necessary requirement. This is what we read in a press release from the institute.
Thus continues the strengthening program "to be achieved along the process to be submitted for approval by the Shareholders' Meeting - continues the note - and which provides for the transformation into a joint-stock company, the listing on the stock exchange and the subsequent capital increase up to a maximum of 1 billion euros which will be executed in the first half of 2016".
Through the pre-guarantee agreement signed yesterday, Banca Imi has undertaken to guarantee, under usual conditions and terms for this type of operation, the subscription of the capital increase for the part that may remain unsubscribed following the outcome of the offer of the unexercised rights on the stock exchange, as well as promoting the establishment of an enlarged guarantee consortium close to the start of the option offer.
The Board also appointed Banca IMI as Global Coordinator and Bookrunner of the capital increase, as well as Sponsor of the bank's stock market listing process.
