Ubi, fixed price for the one billion capital increase

A capital increase of one billion. This is what Ubi Banca is about to do with the issue of approximately 263 million ordinary shares with a nominal value of 2,50 euro each to be offered as an option to the shareholders and holders of the convertible bonds "UBI 2009/2013 convertible with the right to redemption in shares”, at the price of 3,808 euro per share, of which 1,308 euro as share premium.

The subscription price was determined by applying a 22,43% discount with respect to the Terp (Theoretical Ex Right Price) of the Bank's shares, calculated on the basis of yesterday's closing (5,27 euro). The newly issued shares will be offered in the ratio of 8 new shares for every 21 held (or every 21 convertible bonds).

The exercise period of the option rights will start on June 6th and end on the 24th, while the trading of the rights on the Stock Exchange will always start on June 6th but will end on the 17th. Within the following month, Ubi will also offer any rights on the Stock Exchange options not exercised, in compliance with current legislation.

At Piazza Affari at 9.40 the share lost 3,32% settling at 5,10 euros per share.
