Even before the decree is converted into law, in addition to Banco Popolare, too Where's Banca it adapts in advance to the new rules envisaged by the reform of cooperative banks. At the next meeting on April 25, each member of the institute will be able to bring 10 proxiesminimum number established by the new legislation. Until now, Ubi Banca shareholders could count on a maximum of five proxies.
When convening the meeting, the chairman of the management board, Franco Polotti, recalled that "pursuant to article 26 of the by-laws, the maximum number of proxies conferable to a single shareholder is equal to five".
The government decree, however, establishes that "the maximum number of proxies that can be conferred on a shareholder is not less than ten".
Therefore, "in consideration of this regulatory innovation - continues Polotti - the maximum number of proxies conferable to a shareholder is set at ten".
Without prejudice, of course, that "any changes in the maximum number of proxies that can be conferred due to the failure to convert the aforementioned decree into law, or to its conversion with modifications on the point, will be promptly brought to the attention of the shareholders".
Apart from Banco Popolare and Ubi Banca, all the other cooperative banks, on the basis of their respective notices of call, will face this session of the meeting with the maximum number of proxies envisaged by the statutes.
