Terna: completion of the business combination between Tamini and Tes

As part of the development of Non-Regulated Activities, Terna announces that today the closing of the transaction relating to the merger process between Tamini Trasformatori Srl (“Tamini”), a subsidiary of Terna Plus Srl (“Terna Plus” ), and TES Transformer Electro Service Srl (“TES”). The operation, announced to the market on 16 September last, was carried out through a capital increase by Tamini of approximately Euro 26,4 million, reserved for Holdco TES Srl.

Following the execution of the agreement, Terna Plus owns a 70% stake in the share capital of Tamini while Holdco TES owns the remaining 30%. Holdco TES is controlled by the Xenon Private Equity V fund, Riccardo Reboldi and Giorgio Gussago. The operation, which realizes an important corporate and entrepreneurial aggregation, further consolidates Tamini as a leader in the industrial sector and in the after-sales sector, as well as strengthening it in the power and utilities sector, to the benefit of its customers and the global steel industry.
