There are 639 seats to be renewed in the coming months in 146 corporate bodies of 107 companies owned by the Ministry of Economy and Finance. Fundamental public appointments for the future of the country which will involve 91 Boards of Directors and 55 Boards of Statutory Auditors.

This is what emerges from the fifth edition of theanalysis by the CoMar Study Centre on the governance of all state-owned companies.

Public appointments in direct subsidiaries

Going into the details of the report, it turns out that of the 639 positions due to expire, 72 concern the 15 directly controlled companies by the Ministry of Economy. We are talking about giants of the caliber of Arexpo, Invitalia, PagoPa, Sogin, Sace, Sport e Salute, Studiare Sviluppo which will be called upon to elect the new board of directors or sole administrator. In total. between all direct subsidiaries. up for grabs there will be 22 councilor seats and 50 statutory auditors, but the most awaited appointment undoubtedly concerns the top management of Invitalia, where the reconfirmation of CEO Domenico Arcuri seems very much in the balance. Also to watch Sace, whose board of directors will complete the mandate with the April meeting. 567 seats in indirect subsidiaries

The number of seats up for grabs in the competitions is much more substantial 92 indirect subsidiaries through the parent company Amco, Banca Mps, Cassa Depositi e Prestiti, Enav, Enel, Eni, Eur, Ferrovie dello Stato Italiane, Invitalia, Istituto Poligrafico Zecca dello Stato, Leonardo, Poste Italiane, Rai, Sace, Sport e Salute, STMicroelectronics. There will be 377 councilors and 190 statutory auditors to be nominated for a total of 567 representatives. The heavier assignments, in this case, will concern the boards of Ansaldo, Cdp, Fincantieri, Italgas and Snam. 

Public appointments and gender balance

Among the criteria to be respected for the appointments to be made in the coming months, the gender balance stands out on the basis of which, according to the 2020 Maneuver, women will have to obtain "a representation of at least two fifths of the directors and statutory auditors in listed companies. "These rules - underlines CoMar - have already led to a progressive and significant increase in the female presence, growing with each renewal". 

To date, in fact, out of the 639 members of the outgoing corporate bodies, women are 243, equal to 38% overall; they were 31,3% of the companies that went to renewal in 2021. 

Percentage-wise, women are more present in directly controlled companies by the Mef (30 female administrators out of a total of 72 directors - 41,6%) compared to indirect ones (213 female administrators out of a total of 567 directors - 37,5%); just as there are more in supervisory boards (100 women mayors out of 240 total auditors - 41,7%) than in boards (143 women directors out of 399 total directors - 35,8%).

“Beyond the quantitative data, these figures show how there is more distance between the male and female component, where there are greater operational powers; and it is on this aspect, rather than on the purely numerical one, that there is still room for improvement”, underlines the survey.
