The boards of directors have reached an agreement: Acsm-Agam, A2A, Aevv, Lario Reti Holding, Acel Service, Aspem Varese and Lario Reti Gas sign a shareholders' agreement, with A2A which will have an almost 40% stake.

Multiutility, green light to the Lombard pole

The boards of Acsm-Agam, A2A, Aevv, Lario Reti Holding, Acel Service, Aspem Varese and Lario Reti Gas have approved an industrial and corporate partnership project that has been under study for some time. This is what is reported in a joint note released by the companies late on Tuesday evening. Thus it takes shape definitively project of the Multiutility Lombarda which develops around Acsm-Agam (Como and Monza) and sees the involvement of A2A as industrial partner with a 38,9% share.

The main shareholders of the new Acsm-Agam will be the Municipalities with Lario Reti Holding holding 23,05%, Monza 10,53%, Como 9,61%, Sondrio 3,3% and Varese 1,29%. All these subjects and A2A, which will consolidate EBITDA and Acsm's debt, will sign a shareholders' agreement. The float, which will also include some public shareholders with minor shares and not part of the agreement, will be equal to 13%. They should finally arrive within the next two months the actual decisions of the Municipal Councils involved and of the meetings of the companies that will initiate the merger. Once the charges are complete, the closing will come.
