Sandro Panizza, Sabrina Pucci, Cristina Scocchia, Massimo Lapucci and Jean Luc Biamonti. These are the five names that Dolphin has decided to include in the list for the renewal of the board of Mediobanca which will be voted on by the assembly on October 28th. The Delfin board of directors has in fact unanimously approved the lists of candidates for the Board of Directors and the board of statutory auditors of Mediobanca for the three-year period 2024-2026.

Delfin's five candidates 

While in the Senate Finance Committee Capital bill which dictates the rules for the presentation of candidates from the outgoing board at the time of the renewal of the top management of the listed companies is about to be modified with an amendment which simplifies the quorum and grants less veto power to the minority, Delfin makes his move in view of the Mediobanca meeting scheduled for 28 October.

Of the five names included in the list by the company, the first two will certainly join the board of directors. in fact, according to the provisions of the Mediobanca statute, Delfin - which owns a 19,8% stake in the investment bank - will appoint two directors if it comes second, all five if it comes first and in any case the presidency of the board of auditors.

The roster includes the former chief risk officer of Generali, Sandro Panizza, the former councilor of Generali, Sabrina Pucci, the CEO of Illy Caffé and advisor to Essilux, Cristina Scocchia, the former general secretary of the Crt Foundation, Massimo Lapucci, and the president of Covivio Jean-Luc Biamonti.

Delfin: “The objective is constructive change and collaborating with everyone”

As stated in a note released yesterday evening, the candidates have independence requirements and high-profile skills, "capable of supporting Mediobanca in the growth path outlined in its strategic plan". 

The list is proposed with "theaim to collaborate with everyone the members of the board and offer a contribution to the implementation of the industrial plan. The minority list it has no competitive intent towards the management's majority list, but will have the objective of bringing the value of a constructive change within the Board”. 

Delfin also made it known that "the vision that guides the Delfin list finds its foundation in the entrepreneurial spirit that has always animated the Italian economic system, and which the founder of Delfin Leonardo Del Vecchio has personified in its highest and noblest form" . 

Delfin intends to represent this vision, in the interest of all investors, favoring a strategic renewal process and technological by virtue of the complementarity of the skills and values ​​expressed by the proposed list.

“This spirit of renewal constitutes the very essence of entrepreneurship and is not never a criticism of the pastor, but a vision always oriented towards the future”. 

At the same time, Delfin presented the list of candidates for the formation of the Board of Auditors of Mediobanca, composed of Mario Matteo Busso, standing auditor, Barbara Tadolini, standing auditor, and Angelo Rocco Bonissoni, alternate auditor.

It should also be released today Assogestioni list, who with 2% of votes will renew the independent councilor Angela Gamba.
