The ordinary shareholders' meeting elected the new board, whose members were reduced from 15 to 12 – On the sale of 45% to the German group Heidelberg Cement, his son and director Carlo commented as follows: “There were no alternatives, we have always behaved responsibly”.

The ordinary meeting of the shareholders of Italcementi, after approving the 2015 financial statements, elected the board of directors for the three-year period 2016-2018 made up of Giulio Antonello, Giorgio Bonomi, Victoire de Margerie, Lorenzo Renato Guerini, Italo Lucchini, Maria Martellini, Carlo Pesenti, Giampiero Pesenti, Claudia Rossi, Carlo Secchi, Laura Zanetti (elected from the majority list presented by Italmobiliare) and Pietro Caliceti (candidate from the minority list presented by some Funds representing 1,582% of the share capital). The members of the board were reduced from 15 to 12. The new Board, meeting at the end of the meeting, then assigned the following corporate offices: Giampiero Pesenti was confirmed as president, Lorenzo Renato Guerini vice president and Carlo Pesenti managing director of the company.

“The reason for the deal with the German group Heidelberg Cement - commented on managing director Carlo Pesenti in response to the protests of the unions on the sidelines of the meeting – is that there weren't many other alternatives for Italcementi. With this operation we are giving a future to many by joining a large group and with know-how and synergies that the German group has said it wants to exploit". The reference was to the sense of the sale of 45% of Italcementi, held by Italmobiliare, to the German giant Heidelberg Cement. An operation that will lead to the closure of the Bergamo office where around 630 of 430 employees have already been defined as redundant. 

“Italcementi – underlined Carlo Pesenti later – has always behaved responsibly, it suffered painful restructuring processes and also in this case in which the process will be managed by Heidelberg Cement after the closing, we will ensure that the impact on workers is less heavy and painful”.
