Intesa Sp: completes restructuring of the A4 motorway with Astaldi, over 50% private

After having unblocked the construction of the external Milan ring road in tandem with Gavio, Intesa Sanpaolo is promoting a reorganization in the upper floors of the chain of control of the Serenissima motorway (ie the section between Brescia and Padua of the A4) together with the private partners. Ca' de Sass, Astaldi and the Venetian Tabacchi family, according to Radiocor, in recent days have reorganized the chain of control of the asset by concentrating all the shareholdings that each held in the motorway in a single company. A simplification that will see 44,87% of A4 Holding (which holds the concession) pass to Re.Consult: the shareholders of the latter include Astaldi (with 31,8%), Tabacchi (2,2% ) and three holding companies controlled for various reasons by Intesa Sanpaolo (Infra, Compagnia Italiana Finanziaria and Iniziative Logistiche) with the remaining 64% of the share capital.

Furthermore, Ca' De Sass ' through Equiter ' directly holds another 6,4% of the Serenissima, thus bringing the share attributable to the bank and private individuals to over 50%. The new Re.Consult has also seen its debt of approximately 80 million refinanced (thanks to the intervention of Intesa Sanpaolo) and will be strengthened from a capital point of view. Updated governance is also planned. The approval of the three shareholders (Intesa Sanpaolo, Astaldi and Tabacchi) will essentially be required for decisions of a strategic nature in the board of directors and all shares will have a one-year lock-up. In the event of the transfer of shares, a right of pre-emption and co-sale is also provided for the other shareholders.
