With effect from 1 April, the company conferred the business unit pertaining to the concession for the Lotto game to the wholly owned subsidiary Lottomatica spa.

Gtech reorganizes Italian activities

Gtech informs that, upon completion of the already announced reorganization of the Italian activities started last December 17th, it has conferred to the wholly owned subsidiary Lottomatica SpA, with effect from April 1st, the business unit pertaining to the concession for the Lotto game, signing a capital increase of the transferee equal to Euro 378 million, on the basis of the appraisal provided by an independent expert and referring to the net book value according to IAS standards, subject to the conclusion of the prescribed trade union consultation procedure.

The company subsequently transferred to the wholly owned subsidiary Lottomatica Holding Srl, with effect from 3 April next, the entire stake held in Lottomatica SpA, subscribing to a capital increase of the transferee equal to Euro 811 million, based on the appraisal provided by an independent expert and referred toequity value according to ITA GAAP. Both of the aforementioned contributions, already authorized by the Customs and Monopolies Agency, are exempt from the application of CONSOB regulation no. 17221 of March 12, 2010, containing provisions on transactions with related parties, as implemented by the implementing provisions adopted by Gtech, in the absence of significant interests of other related parties.
